1. Scope of Services
CogitX provides an enterprise AI platform that enables clients to design, orchestrate, and govern AI agents and workflows. Depending on your subscription, this may include:
SaaS Services: Hosted access to the CogitX control plane.On-Premise/On-Tenant Deployments: Licensed software installed within your private infrastructure.Support & Maintenance: Technical assistance and updates provided per your specific service agreement.2. Accounts and Access
Eligibility: You must be authorized to enter into this agreement on behalf of your organization.Account Security: You are responsible for all activity occurring under your account credentials. You must notify us immediately of any unauthorized access.Usage Limitations: You agree not to reverse-engineer, decompile, or attempt to derive the source code of the CogitX platform.3. Deployment Models & Data Ownership
Data Sovereignty: CogitX respects your data.- For On-Premise/VPC Deployments: Your data remains within your domain/environment. CogitX does not store or access your proprietary data unless explicitly required for specific support services or telemetry you have enabled.
- For SaaS Deployments: You retain full ownership of your input data. We process this data solely to provide the services you have purchased.
No Training on Customer Data: CogitX does not use your proprietary business data or the content of your workflows to train or fine-tune global, public-facing AI models without your express, prior written consent.4. User Responsibilities
Compliance: You agree to use the platform in compliance with all applicable laws, including data privacy (GDPR, CCPA), industry-specific regulations, and intellectual property laws.AI Governance: You are responsible for the AI agents you build and the workflows you orchestrate using the CogitX platform. You agree to implement appropriate human-in-the-loop controls, oversight, and monitoring for your agents.Prohibited Use: You may not use the platform to generate harmful, illegal, defamatory, or deceptive content, or to facilitate activities that violate the rights of others.5. Intellectual Property
Platform IP: The CogitX platform (including the software, architecture, evaluation frameworks, and proprietary tools) remains the exclusive property of CogitX.Your Output: As between you and CogitX, you retain all rights, title, and interest in and to the workflows, agent configurations, and outputs you create using the platform.6. Service Levels and Warranty
"As-Is" Disclaimer: Except as expressly set forth in a separate Service Level Agreement (SLA), the platform is provided on an "as-is" and "as-available" basis.AI Performance: You acknowledge that AI agents are probabilistic in nature. CogitX does not guarantee that output will be accurate, complete, or free of bias. You are responsible for testing and validating the behavior of your agents before deploying them in production environments.7. Limitation of Liability
To the maximum extent permitted by law, CogitX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of the platform.
- Any conduct or content of third-party agents or integrations connected to our platform.
- Unauthorized access, use, or alteration of your transmissions or content.
8. Termination
By You: You may stop using the platform at any time, subject to the terms of your subscription agreement.By Us: We reserve the right to suspend or terminate your access to the platform for any material breach of these Terms.9. Governing Law
These Terms shall be governed by the laws of Bengaluru/ Karnataka, without respect to its conflict of laws principles. Any disputes arising hereunder shall be resolved in the courts of Bengaluru/Karnataka.
